Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of Kridence — the website at kridence.com, the Kridence web application, and related services (together, the "Service") — operated by SAULTECH, a company registered in Nigeria ("SAULTECH", "we", "us"). By creating an account or using the Service you agree to these Terms. If you accept them on behalf of a school or organisation, you confirm you are authorised to bind it, and "you" refers to that organisation.

1. The Service

Kridence provides software for running a school, including student records and admissions, attendance, results and report cards, fees and payments, HR and payroll, online learning, and portals for students, guardians, and staff. The features available depend on the plan the school subscribes to. We may improve, change, or retire features over time; we will not materially reduce the core functionality of a paid plan during a billing period you have paid for.

2. Accounts

• School accounts. A school account is created by an administrator, who is responsible for the account, for inviting users, and for the roles and permissions they are given.
• Accurate information. Provide accurate information and keep it up to date.
• Security. Keep passwords and devices secure, use two-factor authentication where available, and tell us promptly at legal@kridence.com if you suspect unauthorised access. You are responsible for activity under your accounts.
• Student and guardian accounts are provided by the school, which is responsible for deciding who receives access.

3. Subscriptions, billing, and payment

• Plans. Subscriptions are billed in advance for each billing period (monthly unless stated otherwise) according to the plan selected. Shared plans are sized by numbers of students and staff; if a school exceeds its plan's limits it will need to move to a suitable plan.
• Currency. Plan prices are set in US dollars. Where we invoice in a school's local currency, the amount is converted at the exchange rate on the day the invoice is issued, and that amount is fixed for that invoice. Some currencies are shown for reference only and invoiced in US dollars.
• Payment. Invoices are payable through our payment providers (such as Flutterwave, Paystack, or Paddle) by the due date shown. Prices exclude any applicable taxes, which you are responsible for.
• Non-payment. If an invoice remains unpaid after its due date, we may restrict or suspend the account after giving notice. Access is restored once the balance is paid.
• Changes and cancellation. You can change plans or cancel at any time; changes take effect from the next billing period. Fees already paid are non-refundable except where required by law or agreed in writing. We will give at least 30 days' notice of price changes for existing subscriptions.
• School fees collected through Kridence. When a school collects fees from parents through the Service, the payment is processed by the payment provider under its own terms; the school remains responsible for its fees, refunds, and dealings with parents.

4. School data

The information a school and its users put into Kridence ("School Data") belongs to the school. The school grants us the rights needed to host and process School Data to provide the Service, and we process it as described in our Privacy Policy. The school is responsible for the accuracy and lawfulness of School Data, including having a lawful basis — and any parental or guardian consent required — for data about children. The school can export its data while its subscription is active and, after it ends, may ask us to export or delete it as set out in the Privacy Policy.

5. Acceptable use

You must not, and must not allow others to:

• use the Service unlawfully, or to harass, harm, or discriminate against anyone;
• upload content that is unlawful, infringing, or contains malware;
• access accounts, schools, or data you are not authorised to access, or probe, scan, or test the Service's security without our written permission;
• interfere with or overload the Service, or resell, copy, or reverse engineer it except as the law expressly allows;
• use the Service to send spam or unsolicited communications.

We may suspend access that we reasonably believe breaches this section, and will tell the school administrator where appropriate.

6. AI-assisted features

Some features use artificial intelligence to draft content such as report-card comments, exam questions, and analytics. AI output can be inaccurate or incomplete. It is provided as a starting point: you are responsible for reviewing it before using it, particularly for assessments and anything communicated to students or parents.

7. Third-party services

The Service relies on third-party providers for functions such as hosting, payments, email, video, and sign-in. Your use of those functions may also be subject to the providers' terms. We are not responsible for third-party services outside our control, but we choose providers carefully and will work with them to resolve issues affecting the Service.

8. Availability and support

We work to keep the Service available and secure, but we do not guarantee it will be uninterrupted or error-free. Planned maintenance will be scheduled to limit disruption where possible. Specific service levels apply only where agreed in a separate written agreement (for example on Enterprise plans).

9. Intellectual property

Kridence, its software, design, and branding are owned by SAULTECH and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in line with these Terms. If you send us feedback or suggestions, we may use them without obligation to you.

10. Suspension and termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for serious or repeated breaches of these Terms, non-payment, or where required by law, giving notice where reasonably possible. On termination, the right to use the Service ends; School Data is handled as described in section 4 and the Privacy Policy.

11. Disclaimers

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and to the extent permitted by law we disclaim implied warranties, including of merchantability, fitness for a particular purpose, and non-infringement. Kridence is a tool to support school administration; the school remains responsible for its decisions, records, and obligations to students, parents, staff, and regulators.

12. Limitation of liability

To the extent permitted by law, SAULTECH will not be liable for indirect, incidental, special, or consequential losses, or for loss of profits, revenue, or goodwill. Our total liability arising from or relating to the Service in any 12-month period is limited to the fees paid by the school for the Service in that period. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.

13. Indemnity

The school will indemnify SAULTECH against claims by third parties arising from School Data the school provides without a lawful basis, or from the school's or its users' breach of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new "last updated" date and, for material changes, notify school administrators at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute informally — please contact us at legal@kridence.com. If it cannot be resolved within 30 days, the courts of Nigeria will have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you may have.

16. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any order or written agreement for your plan, are the entire agreement between us about the Service.
